About Peacemaker Resources' Board 

Board Member Job Description 

Peacemaker Resources follows the Carver Model of Board Governance and has Governing Policies in place that include the Board Job Description, Chair’s Role, and Board Members’ Code of Conduct. Orientation and training is provided to new directors to make sure they are comfortable and knowledgeable in their role; previous board experience is an asset but not required. 

This is a two year term.  A board member can serve a maximum of up to six consecutive terms.
The following is a  list of responsibilities and qualifications that align with the expectations for an individual board member in service to the organization and to the Executive Director. 

Board Member Responsibilities
Effective board members fulfill these duties with integrity, expertise, and a commitment to the organization's mission.
  1. Governance: Oversee the organization's legal and regulatory compliance. 
  2. Strategic planning: Develop (in collaboration with staff) and approve long-term plans and goals.
  3. Financial oversight: Review and approve budgets, financial reports, and audits. 
  4. Leadership: Guide and support the Executive Director. 
  5. Stewardship: Ensure responsible use of resources and assets.
  6. Risk management: Identify and mitigate potential risks. 
  7. Evaluation: Assess organizational performance and impact.
  8. Committee service: Participate in committees as needed (e.g., finance, governance, program). 
  9. Confidentiality: Maintain confidentiality of sensitive information. 
  10. Attendance: Regularly attend board meetings and events. 
  11. Fundraising: Assist in securing donations and resources.

Board Member Qualifications
A team player with an interest in social emotional learning and social equity, with the willingness to: 
  • Commit time for regular Board meetings, committee meetings and planning sessions 
  • Volunteer at special events, as required (generally one per year or less)
  • Engage in critical thought and be committed to a vibrant future for the organization 
  • Prepare  for meetings, reviewing and commenting on minutes and reports 
  • Listen well and be thoughtful in considering issues; learn and use peacemaker communication strategies 
  • Build collegial working relationship with board members and staff that contributes to consensus 
  • Actively participate in the board’s annual evaluation and planning efforts 
  • Understand the fiscal implications of decisions 

Board Composition and Terms:

The Peacemakers Board of Directors shall consist of not less than five (5) and not more than nine (9), subject to the authority of the Board of Directors to increase the number of directors as permitted by law.  Directors shall be elected by a majority vote of the Board of Directors.  

Each member of the board shall be elected to two-year terms, but are eligible for re-election for up to six consecutive terms.   To carry out these responsibilities, the Board generally meets every other month throughout the year. In addition to attendance at Board meetings, you may be required to participate on committees.
